3. Nature of Services
GFT operates as a specialized engineering partner and authorized reseller/distributor for construction technology software. Our offerings include:
Software Licensing: We are the authorized distributor/reseller for third-party software products including, but not limited to, PlanSwift, ZWCAD, OpenSpace, Sparkel, PlanRadar, and Procore.
Engineering Services: Quantity Surveying, BIM Execution, Site Reality Capture, and related consulting services.
Training: Professional training and certification for the software products we represent.
4. Software Licensing and Third-Party EULAs
When you purchase software licenses through GFT (e.g., PlanSwift, ZWCAD), you acknowledge that GFT acts as an authorized reseller. Your use of the software is governed by the respective End User License Agreement (EULA) of the software manufacturer (e.g., ConstructConnect, ZWSOFT, OpenSpace, etc.).
License Activation: Licenses are delivered electronically. Responsibility for safeguarding license keys or login credentials rests with the Client.
Updates and Maintenance: Software updates and maintenance plans are subject to the specific terms of the software vendor. GFT will assist in facilitating these services but is not responsible for the development or inherent functionality of third-party software.
5. Intellectual Property
GFT Content: All content on this website, including text, graphics, logos, images, and service descriptions, is the property of Green Figure Technique or its content suppliers and is protected by international copyright laws.
Trademarks: “PlanSwift,” “ZWCAD,” “Procore,” “OpenSpace,” “Sparkel,” and “PlanRadar” are registered trademarks of their respective owners. GFT uses these marks under authorization as a certified partner/reseller. You may not use these trademarks without express written permission from the respective owners.
6. Payment and Invoicing
Quotes: All pricing for software and services is provided via official quotation. Prices are subject to change without prior notice, but confirmed quotes will be honored for the validity period specified on the quotation (typically 14 or 30 days).
Payment Terms: Unless otherwise agreed in writing, payment is due upon receipt of the invoice. Licenses and services will not be activated or scheduled until full payment is received.
Taxes: Prices quoted generally exclude VAT unless stated otherwise. The Client is responsible for any applicable Value Added Tax (VAT) as per UAE or local regulations.
7. Refund and Cancellation Policy
Software Licenses: Due to the nature of digital software licensing, all software sales are final. Once a license key has been issued or a subscription activated, no refunds will be granted. We strongly encourage Clients to utilize available free trials (e.g., 14-day trials for PlanSwift or ZWCAD) before purchase.
Services and Training:
Cancellations by Client: Cancellations made less than 48 hours before a scheduled training session or consultation may be subject to a cancellation fee or forfeiture of the session.
Cancellations by GFT: If GFT must cancel a scheduled service, we will offer a full refund or a rescheduled session at the Client’s convenience.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
Software Errors: GFT is not liable for any bugs, errors, data loss, or system failures caused by third-party software products (PlanSwift, ZWCAD, etc.). Technical issues with the software itself must be addressed through the software vendor’s official support channels, though GFT will provide reasonable first-line assistance.
Indirect Damages: In no event shall GFT be liable for any indirect, incidental, special, or consequential damages (including loss of profits, revenue, or data) arising out of the use of our website, services, or products.
Service Accuracy: While we strive for precision in our Quantity Surveying and BIM services, final responsibility for verifying construction data and quantities on-site remains with the Client.
9. Privacy and Data Protection
We respect your privacy. Any personal information (such as name, email, phone number) collected through our “Contact Us” or “Request Demo” forms is used solely for the purpose of communicating with you, processing your orders, and providing support. We do not sell your data to third parties.
10. Governing Law and Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
11. Changes to Terms
GFT reserves the right to update or modify these Terms and Conditions at any time without prior notice. Your continued use of the website or our services following any changes constitutes your acceptance of the new Terms.
